Terms and conditions for service & performance packages

1. scope of application

a. These General Terms and Conditions (GTC) govern the use of the online platform for the booking and payment of service packages by customers of CENFOOD GmbH (hereinafter “Provider”).
b. Deviating terms and conditions of the customer shall not be recognized unless the provider expressly agrees to their validity in writing.

2. conclusion of contract

a. Registration on the platform is not mandatory in order to book service packages.
b. After selecting a service package, the customer will receive an e-mail within 24 hours (working days) with the terms of payment.
c. The order is considered binding for both parties as soon as the payment, partial payment or down payment has been made.

3. service packages

a. The service packages offered on the platform are described in detail, including prices, terms and specific services.
b. The Provider reserves the right to change the service packages and prices at any time. However, packages that have already been booked are subject to the conditions applicable at the time of booking.

4. booking and payment

a. The customer can select and book service packages on the platform and pay directly online.
b. Payment shall be made in EURO plus the statutory value added tax in Germany.
c. Payment of the service package shall constitute a binding contract between the Customer and CENFOOD GmbH.

5 Delivery and deadlines

a. Digital products will be delivered to the customer by e-mail after full, verified receipt of payment.
b. For service packages, the customer is given the opportunity to register for an online meeting slot for the kick-off meeting, in which the further course of the service is discussed and coordinated.

6 Obligation of the customer to cooperate

a. After receipt of the order, the customer undertakes to cooperate in accordance with the conditions of the booked package.
b. CENFOOD GmbH shall be entitled to discontinue the provision of services if the Customer violates its duty to cooperate, demonstrates blatant violations of German and European law or if the provision of services can no longer be carried out for reasons of quality or objective assessment. In such cases, a credit note will be issued for the repayment of any invoice amounts already paid in accordance with the level of performance achieved.
c. CENFOOD GmbH shall be entitled to demand a general order start fee of 10% of the respective invoice price should CENFOOD be put in the position of not being able to start a booked service due to a lack of cooperation on the part of the Customer and thus not being able to provide it in whole or in part.

7 Cancellation

a. There is no provision for retroactive cancellation after the order has been placed.

8. partial invoices

a. CENFOOD GmbH shall be entitled to issue further partial invoices for partial or advance payments at any time in accordance with the progress of performance.

9. place of fulfillment

a. The place of performance for all services is Germany.

10. liability

a. The liability of CENFOOD GmbH shall be limited to intent and gross negligence.
b. Liability for indirect damages, loss of profit or consequential damages is excluded to the extent permitted by law.

11. data protection

a. Personal data is processed in accordance with the applicable data protection regulations. Details are set out in CENFOOD GmbH’s privacy policy.

12. changes to the GTC

a. The Provider reserves the right to amend or update these GTC at any time. The amended GTC shall enter into force after a reasonable period of notice.
b. Continued use of the Platform after the amended GTC have come into force shall be deemed to constitute consent to these amendments.

13. final provisions

a. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
b. The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
c. To the extent permitted by law, the place of jurisdiction for all disputes arising from this contract shall be the registered office of CENFOOD GmbH.
